Please read these terms carefully before engaging Sentiva Solutions for any services.
By engaging Sentiva Solutions ("Sentiva," "we," "us," or "our") for any services, accessing sentiva.net, or signing any service agreement, you ("Client") agree to be bound by these Terms. If you are entering this agreement on behalf of a company, you represent you have authority to bind that entity.
These Terms constitute a legally binding agreement between you and Sentiva Solutions.
Sentiva Solutions provides managed IT support, cybersecurity solutions, cloud infrastructure management, and IT consulting services. Specific services and deliverables are defined in individual Statements of Work (SOW) or Service Agreements.
All services are invoiced directly to clients following initial consultation and scope agreement. We do not collect payments through an online payment portal โ all transactions are handled via invoice.
To enable Sentiva to deliver services effectively, clients agree to:
All tools, scripts, methodologies, and processes developed by Sentiva Solutions remain the exclusive property of Sentiva Solutions, unless otherwise agreed in a written SOW. Client data, systems, and pre-existing intellectual property remain the property of the client. Sentiva will not use client data for any purpose beyond delivering the agreed services.
Both parties agree to maintain strict confidentiality regarding non-public information disclosed during the service relationship, including technical infrastructure details, business processes, employee information, and financial data. Confidentiality obligations survive termination for three (3) years. Sentiva personnel are bound by confidentiality agreements as a condition of employment.
To the maximum extent permitted by law, Sentiva Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Sentiva's total liability for any claim shall not exceed the total fees paid in the three (3) months preceding the claim.
Sentiva strongly recommends all clients maintain independent cyber liability insurance and business continuity plans.
Either party may terminate a service agreement with 30 days written notice. Sentiva may terminate immediately in cases of non-payment, breach of these terms, or illegal activity.
These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States. Any disputes shall be resolved in the courts of Erie County, Pennsylvania. If any provision of these terms is found unenforceable, the remaining provisions remain in full force.
