Terms of Service

Please read these terms carefully before engaging Sentiva Solutions for any services.

01 Acceptance of Terms

By engaging Sentiva Solutions ("Sentiva," "we," "us," or "our") for any services, accessing sentiva.net, or signing any service agreement, you ("Client") agree to be bound by these Terms. If you are entering this agreement on behalf of a company, you represent you have authority to bind that entity.

These Terms constitute a legally binding agreement between you and Sentiva Solutions.

02 Description of Services

Sentiva Solutions provides managed IT support, cybersecurity solutions, cloud infrastructure management, and IT consulting services. Specific services and deliverables are defined in individual Statements of Work (SOW) or Service Agreements.

  • โ†’Managed IT support including remote helpdesk and on-site assistance
  • โ†’Network monitoring, patch management, and endpoint protection
  • โ†’Cybersecurity audits, threat detection, and incident response
  • โ†’Cloud migration, management, and optimization (AWS, Azure, GCP)
  • โ†’Microsoft 365 and Google Workspace administration
  • โ†’Backup, disaster recovery planning, and implementation
  • โ†’IT strategy consulting and compliance guidance

03 Payment & Billing

All services are invoiced directly to clients following initial consultation and scope agreement. We do not collect payments through an online payment portal โ€” all transactions are handled via invoice.

  • โ†’Invoices are issued electronically to the billing contact on file
  • โ†’Standard payment terms are Net 15 or Net 30 from invoice date
  • โ†’Late payments may incur a 1.5% monthly finance charge
  • โ†’Disputed invoices must be raised in writing within 10 business days
  • โ†’Services may be suspended for accounts more than 30 days past due
  • โ†’All fees are in U.S. dollars unless otherwise specified in writing

04 Client Obligations

To enable Sentiva to deliver services effectively, clients agree to:

  • โ†’Provide timely access to systems, networks, and personnel as required
  • โ†’Designate a primary point of contact for service coordination
  • โ†’Maintain accurate and current billing and contact information
  • โ†’Not use Sentiva services for any unlawful or unauthorized purpose
  • โ†’Promptly notify Sentiva of any security incidents or suspected breaches
  • โ†’Maintain appropriate licenses for all third-party software in their environment

05 Intellectual Property

All tools, scripts, methodologies, and processes developed by Sentiva Solutions remain the exclusive property of Sentiva Solutions, unless otherwise agreed in a written SOW. Client data, systems, and pre-existing intellectual property remain the property of the client. Sentiva will not use client data for any purpose beyond delivering the agreed services.

06 Confidentiality

Both parties agree to maintain strict confidentiality regarding non-public information disclosed during the service relationship, including technical infrastructure details, business processes, employee information, and financial data. Confidentiality obligations survive termination for three (3) years. Sentiva personnel are bound by confidentiality agreements as a condition of employment.

07 Limitation of Liability

To the maximum extent permitted by law, Sentiva Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Sentiva's total liability for any claim shall not exceed the total fees paid in the three (3) months preceding the claim.

Sentiva strongly recommends all clients maintain independent cyber liability insurance and business continuity plans.

08 Termination

Either party may terminate a service agreement with 30 days written notice. Sentiva may terminate immediately in cases of non-payment, breach of these terms, or illegal activity.

  • โ†’All outstanding invoices become immediately due upon termination
  • โ†’Sentiva will provide a reasonable transition period for data handover
  • โ†’Client data will be securely deleted from Sentiva systems within 60 days

09 Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States. Any disputes shall be resolved in the courts of Erie County, Pennsylvania. If any provision of these terms is found unenforceable, the remaining provisions remain in full force.
